Corporate Law

Articles of Association

Establishing a company in the UK involves a fundamental step of crafting the company constitution, encompassing the crucial elements of the memorandum of association and articles of association. These incorporation documents play a pivotal role in outlining the governance structure of a limited company, elucidating the roles and responsibilities of shareholders and directors.

The Companies Act of 2006 introduced "Model Articles," a standardised template for articles of association applicable to private and public limited companies. These model articles serve as a legal framework, establishing a contractual relationship between the company and its members.

Before October 2009, "Table A articles" were commonly utilised for company constitutions. However, current regulations recommend adopting the standard model memorandum of association for new incorporations. Businesses can also opt for a pre-prepared "article bundle" to simplify the process.

While model articles offer a solid foundation, specific business scenarios may necessitate customised articles of corporation, such as creating multiple share classes or appointing alternate directors. This customization allows businesses to adapt clauses, like modifying voting rights or adjusting quorum requirements for board meetings, to their unique needs.
